1. Introduction and Acceptance


Welcome to YBO IT Solutions. These Terms and Conditions ("Terms") govern your access to and use of our website, our services, and any related tools, communications, or content we provide (collectively, the "Services").
By accessing our website, requesting a quotation, engaging our Services, or completing a payment, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.
These Terms should be read together with our Privacy Policy, Return and Refund Policy, and Dispute Resolution Policy, which are incorporated here by reference. 

2. Definitions


  • "Client," "you," or "your" means the individual or entity that engages, purchases, or uses our Services.
  • "Services" means the IT and business support services we provide, including but not limited to IT support, virtual assistance, web design and development, virtual private server (VPS) and hosting services, Odoo Enterprise Resource Planning (ERP) implementation, custom software development, social media content and management, and related professional services.
  • "Engagement" means the specific scope of work, service agreement, quotation, or order agreed between you and us.
  • "Fees" means the amounts payable for the Services, as stated in the applicable quotation, invoice, or service agreement.

Your Back Office IT Solutions OPC is a One Person Corporation registered in the Republic of the Philippines. We provide IT and business support services to startups, micro, small, and medium enterprises (MSMEs), and small and medium enterprises (SMEs).

4. Eligibility


To use our Services, you must be at least eighteen (18) years old and legally capable of entering into a binding contract, or you must be authorized to act on behalf of the business or entity you represent. By engaging our Services, you confirm that the information you provide is true, accurate, and complete.

5. Our Services


We provide the Services described on our website and in any applicable quotation or service agreement. The specific scope, deliverables, timelines, and Fees for your Engagement will be set out in that quotation or agreement.
We reserve the right to modify, improve, or discontinue any part of our Services. Where a change materially affects an active Engagement, we will notify you in advance and, where reasonable, agree on next steps with you.
Certain Services rely on third-party platforms and providers (for example, Odoo, hosting infrastructure providers, and payment processors). Your use of those platforms may also be subject to their own terms, which we will make you aware of where relevant.

6. Quotations, Orders, and Engagement


Quotations we issue are valid for the period stated on the quotation. An Engagement begins once you accept a quotation, sign a service agreement, or make a payment for the Services, whichever comes first.
We will perform the Services with reasonable skill and care, and in accordance with the agreed scope. Work outside the agreed scope may require a separate quotation and your approval before we proceed.

7. Fees, Pricing, and Payment


All Fees are quoted and payable in Philippine Peso (PHP), unless otherwise stated in writing.
Payments may be made through our accepted payment channels, including online payments processed via PayMongo, which supports credit and debit card (Visa and Mastercard) and other supported payment methods. When you pay online, your payment information is handled by the payment processor in accordance with their terms and security standards; we do not store your full card details.
Unless otherwise agreed in writing:
  • Fees are due as stated in the applicable invoice, quotation, or service agreement.
  • Recurring Services (such as hosting, VPS, or retainer-based work) are billed on the agreed cycle and continue until cancelled in accordance with these Terms.
  • We may suspend or pause Services where undisputed Fees remain unpaid after their due date, following reasonable notice to you.
Applicable taxes will be charged in accordance with Philippine law.

8. Refunds and Cancellations


Refunds and cancellations are governed by our Return and Refund Policy, which forms part of these Terms. Because our Services are primarily professional and digital in nature, eligibility for refunds depends on the type of Service, the stage of work completed, and the terms of your specific Engagement.

9. Client Responsibilities


To help us deliver the Services effectively, you agree to:
  • Provide accurate, complete, and timely information, materials, access, and approvals that we reasonably need.
  • Ensure that any content, data, or materials you provide do not infringe the rights of any third party and comply with applicable law.
  • Maintain your own backups of important data where you retain control of your systems, and cooperate with reasonable security practices.
  • Use the Services lawfully and not for any fraudulent, harmful, or prohibited purpose.
Delays or issues caused by incomplete information, delayed approvals, or third-party dependencies outside our control may affect timelines, and are not the responsibility of YBO IT Solutions.

10. Intellectual Property


Unless otherwise agreed in writing, and subject to full payment of the applicable Fees, deliverables we create specifically for you as part of an Engagement (such as a completed website design) will belong to you upon full payment.
We retain ownership of our own pre-existing tools, methods, templates, know-how, and any general components we reuse across clients. Where we grant you the use of such components as part of a deliverable, you receive a non-exclusive license to use them for the intended purpose.
Third-party software, platforms, and licenses (for example, Odoo) remain the property of their respective owners and are subject to their own licensing terms.
You may not copy, resell, or redistribute our proprietary materials without our written consent.

11. Confidentiality


Each party may receive confidential information from the other in the course of an Engagement. Both parties agree to keep such information confidential, to use it only for the purpose of the Engagement, and not to disclose it to third parties without consent, except where disclosure is required by law.

12. Data Privacy


We process personal data in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations. Our collection, use, storage, and protection of personal data are described in our Privacy Policy.
By using our Services, you acknowledge that you have read and understood our Privacy Policy.

13. Hosting, VPS, and Service Availability


Where we provide hosting or virtual private server (VPS) Services, we aim to maintain reliable availability but do not guarantee uninterrupted or error-free service. Availability may be affected by maintenance, updates, third-party infrastructure providers, or events beyond our reasonable control.
We will make reasonable efforts to give advance notice of scheduled maintenance where practicable.

14. Warranties and Disclaimers


We provide our Services with reasonable skill and care. Except as expressly stated in these Terms or in a signed service agreement, the Services are provided on an "as is" and "as available" basis, and we make no other warranties, whether express or implied, to the fullest extent permitted by law.
We do not warrant that the Services will meet every requirement you may have beyond the agreed scope, or that results will be uninterrupted, error-free, or entirely secure against all risks.

15. Limitation of Liability


To the fullest extent permitted by applicable law, our total liability arising out of or in connection with an Engagement shall not exceed the total Fees paid by you to us for that specific Engagement in the three (3) months preceding the event giving rise to the claim.
We shall not be liable for indirect, incidental, or consequential losses, including loss of profits, loss of data, or loss of business opportunity, except where such limitation is not permitted by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Philippine law.

16. Indemnification


You agree to indemnify and hold harmless YBO IT Solutions and its officers, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.

17. Term, Suspension, and Termination


These Terms apply for as long as you use our Services. Either party may terminate an Engagement in accordance with the terms of the applicable service agreement.
We may suspend or terminate your access to the Services, following reasonable notice where appropriate, if you materially breach these Terms, fail to pay undisputed Fees when due, or use the Services unlawfully.
Termination does not affect any rights or obligations that accrued before the termination date, including payment for Services already rendered.

18. Dispute Resolution


If a dispute arises, we encourage you to contact us first so we can try to resolve it amicably. Disputes are handled in accordance with our Dispute Resolution Policy, which forms part of these Terms.
For card payment disputes, you may also have rights through your card issuer and the payment processor, in accordance with their procedures.

19. Governing Law and Venue


These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the proper courts of Bulacan, to the extent permitted by law.

20. Force Majeure


We are not liable for any delay or failure to perform the Services caused by events beyond our reasonable control, including but not limited to natural disasters, power or internet outages, acts of government, or failures of third-party providers.

21. Changes to These Terms


We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

22. General Provisions


  • Entire agreement: These Terms, together with any signed service agreement and the policies referenced here, form the entire agreement between you and us regarding the Services.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force and effect.
  • No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our written consent.
